Terms and Conditions

These Terms and Conditions ("Terms") govern the staking services provided by Stakecito Labs ("Stakecito," "we," "us," or "our") to the user ("User"). By delegating Tokens to Stakecito, the User agrees to be bound by these Terms. If the User does not agree to these Terms, they must not delegate their Tokens to Stakecito. Please read these Terms carefully before delegating Tokens.

ARTICLE I: DEFINITIONS AND RULES OF INTERPRETATION

Section 1.1 Certain Definitions and Rules of Interpretation

  • Affiliate: Any person directly or indirectly controlling, controlled by, or under common control with another person.

  • Block Rewards: Additional tokens newly minted, increasing the total supply of tokens.

  • Disputes: As defined in Section 6.2.

  • Governmental Authority: Any governmental entity or authority, including any legislative, judicial, or administrative body.

  • Laws: All applicable laws, statutes, rules, regulations, judgments, and decrees enacted or issued by any Governmental Authority.

  • Network: A "Proof-of-Stake Network" where transactions in digital tokens are recorded and stored.

  • Person: An individual or legal entity, including governments or agencies.

  • Service Fees: Fees paid to Validator Nodes for exercising Validation Rights on the Network.

  • Token: Any amount of digital tokens transacted on the Network.

  • Transaction Fees: Fees paid to the Network by transactions, which may be distributed to Users and Validator Nodes.

  • User: A token holder who delegates Tokens to Stakecito to receive Block Rewards.

  • Validator Node: A node permitted to exercise Validation Rights on the Network.

  • Validation Rights: The right of token holders to participate in maintaining the Network by delegating these rights to Validator Nodes.

The parties agree that any rule of construction that ambiguities are to be resolved against the drafting party shall not apply in the construction or interpretation of these Terms.

ARTICLE II: STAKECITO SERVICES

Section 2.1 Services

Stakecito operates the software and infrastructure necessary to run a Validator Node on the Network. During times that Stakecito is selected to run a Validator Node, it provides services to the User by enabling them to exercise their Validation Rights through Stakecito's Validator Node in exchange for Service Fees.

Section 2.2 Stakecito's Responsibility

Subject to these Terms and the User Eligibility Conditions, Stakecito will use commercially reasonable efforts to operate the Validator Node in a diligent and professional manner.

Section 2.3 Conditions Precedent

Stakecito's obligations to perform services are subject to the following conditions:

  • The User's representations and warranties are accurate and complete.

  • Stakecito is included in the Maximum Validator Number selected to operate a Validator Node.

  • Neither the User's delegation of Validation Rights nor Stakecito's performance of services results in a breach of any applicable agreement.

User acknowledges and agrees that the technologies and activities involved in the Network are novel, experimental, and speculative, and therefore there is significant uncertainty regarding the application of existing Law thereto.

Section 2.4 No Guarantee of Validator Node Status

There is no guarantee that Stakecito will serve as a Validator Node at any time. Failure to become or remain a Validator Node does not constitute a breach of these Terms.

Section 2.5 Fork Handling

In the event of a fork in the Network, Stakecito will respond at its sole discretion and has no obligation to support both chains. The User assumes full responsibility to manage their interests in connection with forks.

ARTICLE III: REPRESENTATIONS AND WARRANTIES OF USER

Section 3.1 Status

The User, if an individual, is of legal age and sound mind. If a business entity, the User is duly organized and in good standing.

Section 3.2 Power and Authority

The User has the authority to accept these Terms and perform its obligations under them.

Section 3.3 Compliance with Law

The User's delegation of Validation Rights does not breach any applicable Law.

Section 3.4 Sanctions

The User is not subject to any sanctions and is not acting on behalf of any person subject to sanctions.

Section 3.5 No Investment Purpose

Delegating Validation Rights does not constitute an investment in Stakecito and does not entitle the User to any ownership interest or fiduciary duty from Stakecito.

Section 3.6 Non-Reliance

The User has independently investigated the Network and has not relied on any representation or warranty from Stakecito.

ARTICLE IV: LIMITED WARRANTY OF STAKECITO

Stakecito will use commercially reasonable efforts to provide services without errors. The services are provided "as is" and "as available," without warranty of any kind.

ARTICLE V: LIMITATIONS OF LIABILITY

Stakecito is not liable for any damages, losses, or costs arising under these Terms, except to the extent of Service Fees actually received due to the User's delegation.

ARTICLE VI: FEES

Stakecito receives Service Fees for its services. These fees are typically automatically charged and distributed by the Network and are detailed in the metadata of each Stakecito Validation Node.

ARTICLE VII: TERM AND TERMINATION

The service starts when the User first delegates Tokens. Either party may terminate these Terms at any time. Upon termination, the User ceased using the service, initiate re-delegation or unbonding of Tokens, and pay all outstanding fees.

ARTICLE VIII: MISCELLANEOUS

Section 8.1 Governing Law

These Terms are governed by the substantive laws of the UAE.

Section 8.2 Jurisdiction

Disputes will be resolved by the ordinary courts at Stakecito's location.

Section 8.3 Successors and Assigns

These Terms benefit and bind the parties and their successors and assigns.

Section 8.4 Entire Terms

These Terms constitute the entire agreement between the parties.

Section 8.5 Severability

If any part of these Terms is held invalid, the remaining provisions remain valid.

Section 8.6 Notices

Notices must be in writing and are deemed given when received.

Section 8.7 Force Majeure

Stakecito is not liable for non-performance due to events beyond its control.

Section 8.8 Amendments

Stakecito may modify these Terms. Changes will be communicated in advance. The User may terminate the relationship if they object to the changes.

Section 8.9 No Waiver

No failure to exercise any right under these Terms constitutes a waiver of that right.

By using Stakecito's services, the User acknowledges and agrees to these Terms and Conditions.
